What you can do here, what you cannot, and how disagreements get handled. Services we deliver under a signed agreement are governed by that agreement, not this page.
1. Who These Terms Apply To
These Terms apply to all visitors to uotech.co (the "Site"). They supplement any existing written agreements between you and UOTech.co ("UOTech," "we," "us," or "our"). If you have a Master Services Agreement, Statement of Work, or similar contract with us, that document governs your services while these Terms govern Site usage.
2. About UOTech
UOTech is headquartered at 100 Terminal Drive, Suite 39, Plainview, New York 11803. UOTech.co provides managed IT services. Our sister brand UOTech.ai provides AI services including workflow automation, AI agents, data reporting, strategy consulting, and ongoing management. The Site functions as a marketing and information resource only.
3. Changes to These Terms
UOTech may update these Terms periodically. Material changes will be reflected in the Effective Date and posted on the Site. Continued use indicates acceptance of revised Terms.
4. Eligibility
Users must be at least eighteen years old with legal capacity to agree to these Terms. Organizational users represent they have authority to bind their organization.
5. Permitted Use
A limited, personal, non-exclusive, non-transferable, revocable license is granted for lawful informational purposes, including reviewing services, reading content, and submitting inquiries.
6. Prohibited Conduct
Users agree not to:
- Use the Site unlawfully
- Transmit spam, malware, viruses, or harmful code
- Attempt unauthorized access to systems
- Probe vulnerabilities or defeat security measures
- Interfere with Site operations
- Scrape, harvest, mirror, or otherwise copy substantial portions using automated tools
- Reverse engineer or extract source code
- Use content to train AI models without permission
- Frame or deep-link misleadingly
- Remove or alter proprietary notices
- Impersonate others or misrepresent affiliation
- Submit false information
- Damage or impair the Site
7. Intellectual Property
7.1 Content Ownership
All Site content is owned by UOTech or its licensors, protected by copyright and international IP law. No rights are granted beyond the limited license in Section 5.
7.2 Trademarks
UOTech trademarks require prior written permission for use. Other marks are the property of their respective owners.
7.3 Feedback
Users grant UOTech a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use submitted feedback for any purpose without obligation or confidentiality.
8. Inquiries and Lead Forms
Submitting contact forms does not create a services relationship, consulting engagement, or professional relationship. Engagement requires a signed written agreement describing scope, fees, and terms.
9. No Professional Advice
Site content is general informational material, not professional advice tailored to specific situations. Users should not rely on Site content as a substitute for qualified professional guidance.
10. Third-Party Content, Links, and Services
The Site may link to third-party websites and services. UOTech does not control or accept responsibility for third-party content, policies, or practices. Third-party terms and privacy policies govern those interactions.
11. Availability and Changes to the Site
UOTech makes reasonable efforts to maintain Site availability but provides no guarantees regarding uptime, error-free operation, or device compatibility. Features may be changed, suspended, or discontinued without notice.
12. Disclaimers
THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES ACCESSED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND.
UOTech disclaims all warranties including merchantability, fitness for purpose, title, and non-infringement. The Site is not guaranteed to be uninterrupted, timely, secure, or error-free. Users assume all risks of Site reliance.
13. Limitation of Liability
UOTech and its affiliates disclaim liability for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits or data.
Total aggregate liability shall not exceed one hundred U.S. dollars ($100).
14. Indemnification
Users agree to defend and hold harmless UOTech from claims arising from Site use, Terms violations, law violations, or rights infringement.
15. Governing Law and Venue
These Terms are governed by New York law. Disputes must be brought in Nassau County state or federal courts, to which both parties consent.
16. Time to Bring a Claim
Claims must commence within one year of the cause of action, except where longer periods are required by law.
17. Severability
Invalid provisions will be modified minimally or severed, with remaining provisions remaining effective.
18. No Waiver
Failure to enforce provisions does not constitute waiver. Waivers require written authorization from UOTech.
19. Assignment
Users cannot assign these Terms without written consent. UOTech may assign without notice.
20. Entire Agreement
These Terms, the Privacy Policy, and posted policies constitute the complete agreement regarding Site use and supersede prior agreements on that subject, but do not modify separate services agreements.
21. Notices
Notices may be provided through the Site, email, or postal mail. Notices to UOTech should be sent to the address listed in Section 22.
